Terms of Service

Last updated: August 18, 2026

These Terms of Service (these "Terms") govern your access to and use of the Spirecut Forum web and mobile applications (together, the "Service"), operated by Spirecut SA, a Swiss corporation (Aktiengesellschaft) registered in the Swiss commercial register under UID CHE-209.831.310, with its registered office at Hofackerstrasse 40b, 4132 Muttenz, Switzerland ("Spirecut," "we," "us," or "our"). "You" or "Member" means the person or organization using the Service.

1. Acceptance of Terms

By creating an account, redeeming an invite, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service. If you are accepting these Terms on behalf of a hospital, practice, distributor, or other organization, you represent that you have the authority to bind that organization, and "you" refers to both you individually and that organization.

If you already have an account, your continued use of the Service after updated Terms take effect, as described in Section 22, constitutes your acceptance of them.

2. Eligibility and Account Registration

3. Not Medical Advice; No Doctor-Patient Relationship

The Service is a professional community and educational platform intended to facilitate peer discussion among licensed medical professionals. It is not, and is not intended to be, a source of medical advice, diagnosis, or treatment for any patient.

4. Patient Information and Your Responsibilities

Members may choose to share clinical photos, videos, and case discussions as part of Content they post. Spirecut does not review Content before it is posted and has no independent way to verify it does not contain patient-identifying information.

By posting any Content that relates to a patient, you represent and warrant that:

You are solely responsible for any Content you post that relates to a patient. Spirecut bears no responsibility for a Member's decision to post patient-related Content, or for that Member's compliance, or non-compliance, with the laws and professional obligations that apply to them. If you believe Content on the Service improperly identifies a patient, or was posted without proper consent, contact us as described in our Privacy Policy — we will review it for removal, without any obligation to independently verify or adjudicate the underlying facts.

5. The Service

The Service lets Members post and discuss content, react and comment, follow tags, build community reputation, and, for distributor accounts, host events that other Members may RSVP to. We may add, change, or remove features at any time, and do not guarantee that any specific feature will continue to be available.

6. User Content and License

"Content" means any text, image, video, link, or other material a Member posts, uploads, or transmits through the Service. You retain ownership of your Content.

By posting Content, you grant Spirecut a non-exclusive, worldwide, royalty-free, sublicensable (solely to the hosting, storage, and infrastructure providers we use to operate the Service) license to host, store, reproduce, display, and distribute that Content, solely for the purpose of operating, maintaining, and providing the Service to you and other Members.

This license ends when you delete the specific Content or your account, except:

You represent and warrant that you own or have the necessary rights to any Content you post, and that it does not infringe or violate any third party's intellectual property, privacy, or other rights. We do not claim ownership of your Content, and nothing in these Terms transfers ownership of your Content to us.

7. Community Guidelines and Prohibited Conduct

You agree not to, and not to help anyone else:

We may investigate suspected violations of these Terms and cooperate with law enforcement or regulators where required by law.

8. Distributor-Hosted Events and Promotional Content

Distributor accounts may create event listings. This is the only sanctioned promotional use of the Service — using posts, comments, profiles, or any other feature for advertising, product promotion, or solicitation outside the event-hosting feature is prohibited unless we have separately agreed to it in writing.

Distributors are solely responsible for the accuracy of their event listings, and for complying with the advertising, healthcare-marketing, and inducement laws that apply in every jurisdiction where the event is promoted or held. We may remove event listings or revoke a distributor account's event-hosting privileges at our discretion.

9. Community Points and Reputation Features

Community points, upvotes, and similar reputation indicators exist for engagement purposes only. They have no cash or exchange value, cannot be transferred, sold, or redeemed, and confer no rights beyond what is expressly stated in these Terms. We may adjust, reset, or discontinue these features, or correct totals we believe were obtained improperly, at any time.

10. Content Moderation and Removal

We do not pre-screen Content, but we may review, moderate, remove, or restrict access to any Content at any time, with or without notice, for any reason, including if we believe it violates these Terms or applicable law, or poses a risk to a patient, Member, or the integrity of the Service. Removing Content does not waive any other right or remedy available to us. Moderation decisions are made at our discretion, and we are under no obligation to explain a specific decision, though we may choose to.

11. Intellectual Property Rights

The Service — including its software, design, layout, graphics, the Spirecut name and logo, and all related trademarks — is owned by Spirecut or our licensors and is protected by intellectual property laws. Except for your own Content, nothing in these Terms grants you any right to use Spirecut's trademarks, branding, or the Service's underlying software or design. You may not copy, modify, distribute, sell, or lease any part of the Service, or attempt to extract its source code, except where applicable law prohibits this restriction.

If you believe Content on the Service infringes your intellectual property rights, contact us at the email in Section 24 with enough detail for us to locate and evaluate the material. We may remove or disable access to Content in response to a good-faith infringement notice, and may terminate the accounts of repeat infringers.

12. Feedback

If you send us suggestions, ideas, or feedback about the Service, you agree that we may use it for any purpose, including to improve or develop the Service, without any obligation to compensate you or attribute it to you.

13. Third-Party Links and Content

The Service may display links to third-party websites, or content pulled from third-party sources such as a link preview. We do not control, and are not responsible for, third-party content, and including a link does not mean we endorse it. Your use of any third-party site is at your own risk and subject to that site's own terms.

14. Privacy

Our Privacy Policy explains how we collect, use, and protect information in connection with the Service, and is incorporated into these Terms by reference.

15. Suspension and Termination

We may suspend or terminate your account or access to the Service at any time, with or without cause or notice, including if we believe you have violated these Terms, provided false information, or if we are unable to verify your professional eligibility. You may stop using the Service, or request deletion of your account, at any time by contacting us as described in our Privacy Policy.

On termination, your right to access the Service ends immediately. Sections that by their nature should survive — including the license in Section 6, and Sections 11 and 16 through 21 — survive termination. As described in our Privacy Policy, your past posts and comments may remain visible even after your account is deleted, to preserve the integrity of discussion threads other Members have replied to.

16. Disclaimers; No Warranty

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT POSTED BY MEMBERS, INCLUDING ANY CLINICAL, TECHNICAL, OR EDUCATIONAL INFORMATION.

Nothing in this Section limits any warranty that cannot be excluded under mandatory law.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SPIRECUT AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) CHF 100.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or willful misconduct, or for any other liability that cannot be excluded or limited under mandatory Swiss law or other applicable mandatory law.

18. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Spirecut and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses, including reasonable legal fees, arising out of or related to:

19. Relationship to Spirecut's Medical Device Business

Spirecut also develops, manufactures, and markets medical devices and related surgical instruments and training. If you separately purchase, use, or are trained on Spirecut devices or instruments, that relationship is governed by the separate agreements, purchase terms, and instructions for use that apply to those products, not by these Terms. Nothing on the Service — including Content posted by Spirecut personnel or by other Members — is a substitute for a device's official instructions for use, and using the Service does not modify any separate agreement you may have with Spirecut regarding its devices.

20. Export Control and Sanctions

You may not access or use the Service in violation of Swiss, EU, US, or other applicable export control or trade sanctions laws. You represent that you are not located in, or a resident of, any country or region subject to comprehensive Swiss, EU, or UN sanctions, and are not on any restricted-party list maintained by such authorities.

21. Governing Law and Dispute Resolution

These Terms are governed by the substantive laws of Switzerland, without regard to its conflict-of-laws principles and without regard to the UN Convention on Contracts for the International Sale of Goods.

Subject to any mandatory consumer-protection law that grants you the right to bring a claim in your own jurisdiction, you agree that the exclusive place of jurisdiction for any dispute arising out of or in connection with these Terms or the Service is the courts of Basel-Landschaft, Switzerland, and you and Spirecut each submit to the personal jurisdiction of those courts.

To the extent permitted by applicable law, any dispute must be brought in your individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.

22. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify Members through the Service. Your continued use of the Service after updated Terms take effect constitutes acceptance of them; if you do not agree, you should stop using the Service and may request account deletion as described in our Privacy Policy.
